1. General Information

These Terms of Service (“Terms”) govern access to and use of the Sopla.app platform (“Sopla”, the “Platform”, or the “Services”) provided by Sanik Design SL, a company registered in Barcelona, Spain (“we”, “us”, or “our”).

By creating an account on our website (the “Website”) or using the Services, you (“you”, “your”) acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

If you represent a company or organization, you confirm that you have the authority and legal capacity to enter into this agreement on its behalf. If you do not agree to these Terms, you must not use the Services.

We may update these Terms periodically. If we make material changes, we will notify you via email, notice on the Platform, or by updating the “Last Updated” date. Continued use of the Services after such notice constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must immediately stop using the Services.

Certain Services or features may be subject to additional terms (“Supplemental Terms”). If there is a conflict between these Terms and the Supplemental Terms, the Supplemental Terms will control for that Service.

 

2. Business Use Only

The Services are intended solely for use by businesses and professionals acting in the course of their trade, business, or profession (B2B).

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.

By using the Services, you represent and warrant that you are not acting as a consumer and that you use the Platform exclusively for business purposes.

If you use the Services as a consumer in breach of this clause, you acknowledge that you do so at your own risk and that you are not entitled to any consumer rights or protections under applicable law.

 

3. Description of Services

Sopla is an AI-powered online platform that generates videos from uploaded images, allowing businesses to create visual content for marketing and creative use.

We may improve, modify, or update the Services at any time, provided that such changes do not materially reduce overall functionality. Temporary interruptions may occur for maintenance, updates, or technical reasons. We will provide notice of scheduled downtime whenever reasonably possible.

The Services are accessible worldwide; users are responsible for ensuring their use complies with local laws.

 

4. Authorized Users

Depending on your subscription plan, you may allow designated employees or collaborators (“Authorized Users”) to access and use the Services.

You are fully responsible for all actions taken by Authorized Users under your account, including compliance with these Terms.

You must notify us immediately if you become aware of unauthorized access, use, or any security breach.

You may use the videos or other outputs generated by the Services (“Outputs”) for your own commercial purposes, such as marketing or promotional content, but you may not resell, sublicense, or share the Services or API access with third parties without our express written consent.

You may not access, expose, or attempt to call our third-party provider APIs directly (including obtaining or using API keys). All inference calls must be performed through Sopla’s backend.

 

5. Accounts and Subscriptions

To use the Services, you must create an account. Accounts are personal and non-transferable. You are responsible for keeping your login credentials secure and confidential.

Once your account is created and the applicable payment is made, the Services will become available for use according to your chosen subscription plan.

Access to the Services is available only while your subscription plan is active and fully paid. If your subscription expires, is canceled, or payment fails, you will immediately lose access to the Platform and its features. You will not be able to use the Services after cancellation unless a new subscription is purchased.

We reserve the right to suspend or terminate your account if you violate these Terms, our policies, or any applicable laws.
We may also suspend or terminate your access to the Services immediately and without prior notice if we have a good reason, including suspected misuse, security concerns, or potential legal violations.

 

6. Your Obligations and Responsibilities

When using the Services, you agree to:

  • Use the Platform only for lawful business purposes and in accordance with these Terms;
  • Not interfere with or disrupt the integrity, performance, or security of the Services;
  • Follow all technical instructions and guidelines provided by us;
  • Ensure that your account information remains accurate and up to date.

You are solely responsible for any content, data, or materials uploaded, shared, or created through the Services (“Content”). You must not upload or share any Content that:

  • Infringes upon any copyright, trademark, or other intellectual property rights;
  • Contains offensive, discriminatory, violent, explicit, or hateful material;
  • Misleads, impersonates, or violates privacy laws;
  • Is used to generate or disseminate false information, including “deepfakes.”

By uploading Content, you represent and warrant that:

  • You own or have all necessary rights and permissions to use such Content;
  • Your use of the Content does not violate any laws or third-party rights; and
  • You will indemnify and hold us harmless against any claims related to your Content.

License to Process and Share Content:

By uploading or submitting any Content to the Platform, you grant Sopla a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, process, and create derivative works from such Content solely for the purpose of operating, maintaining, and delivering the Services and generating the requested Outputs.This includes the limited right for Sopla to transmit or share such Content with selected third-party service providers (for example, AI inference or cloud-hosting providers) strictly as necessary to perform the Services on Sopla’s behalf. While Sopla selects reputable providers and seeks to ensure that they implement appropriate contractual and technical safeguards, Sopla does not control or guarantee their independent data-handling practices, which are governed by their own terms and privacy policies. We do not authorize such providers to use your Content for model training or unrelated purposes; however, we cannot warrant that all providers will refrain from doing so. This license remains in effect while your Content is stored or processed through the Platform and automatically terminates once it is deleted from our systems. You retain all ownership rights to your Content, and nothing in these Terms transfers any intellectual-property rights to Sopla or to its providers beyond what is necessary to provide the Services.

Prohibited Uses. You will not use the Services or Outputs to:

  • Create, expand, or contribute to facial recognition databases; perform biometric identification or live surveillance;
  • Deduce sensitive attributes (e.g., race, religion, political opinions, sexual orientation) or conduct social scoring;
  • Predict criminality or classify risk based on personal traits or profiling;
  • Generate misinformation/disinformation, content that is sexually explicit, exploitative, extremely violent or otherwise unlawful;
  • Replicate or closely mimic real-world likenesses, brands, or locations without obtaining all necessary clearances;
  • Extract training data, infer content provenance, reverse-engineer model behavior, or build competing models from Outputs or any third-party materials;
  • Deploy subliminal or manipulative techniques that may distort a person’s decisions or cause harm.
  • Deleting Content from your account does not automatically remove all backups or cached copies, which may be retained temporarily for technical or legal purposes.

    Technical Restrictions: You will not (i) reverse engineer, decompile, or attempt to extract source code or model weights; (ii) bypass or disable access controls, usage limits, or security; (iii) scrape, harvest, or use automated means to access the Services except through authorized APIs; or (iv) use Outputs or any third-party materials or outputs accessible through the Services to train, fine-tune, or improve any AI models or services that compete with Sopla or our providers, unless we expressly permit this in writing.

 

7. Our Rights and Intellectual Property

All intellectual property rights related to the Website, Platform, and Services—including design, code, graphics, interfaces, trademarks, and logos—remain the exclusive property of Sanik Design SL or its licensors. You may not copy, modify, reproduce, or redistribute any part of the Services without our written permission.

AI Outputs: To the extent permitted by law, ownership of any Outputs generated using the Services transfers to you. Where permitted by applicable law, all rights, title, and interest in the Outputs shall vest in you upon generation. Due to the evolving nature of laws governing generative AI, we do not guarantee that Outputs will qualify for copyright protection or that their use will not infringe third-party rights.

Outputs may not be unique, and other users may generate similar results. We see it as a nature of generative AI.

You are solely responsible for verifying that your use of Outputs complies with all applicable laws, licenses, and third-party rights.

We reserve the right to remove any Content or Output that violates these Terms or applicable law.

If Outputs depict or closely resemble identifiable persons, brands, or private locations, you are solely responsible for obtaining all necessary permissions, releases, or clearances before any use.

Third-Party Services and Model Terms:

The Services may interoperate with or rely on third-party infrastructure or AI models. Your use of such services may be subject to their own terms and policies. We are not responsible for their availability or conduct.

IP Complaints:

If you believe that content available through the Services infringes your rights, notify contact@sopla.app with all necessary details. We may remove or disable such content and suspend accounts in our discretion.

 

8. Feedback License

If you provide suggestions, comments, or other feedback regarding the Services (“Feedback”), you grant us a perpetual, worldwide, irrevocable, royalty-free license to use and incorporate such Feedback into our Services without restriction or compensation.

 

9. Data Protection and Privacy

We process your personal data in accordance with applicable EU and Spanish data protection laws, including the General Data Protection Regulation (GDPR). Your personal data (including account and payment information) is collected and processed solely to operate and improve our Services.

We may collect and use anonymized or aggregated usage statistics (“Usage Data”) about how users access and interact with the Services. By using the Platform, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, analyze, and create derivative works from such Usage Data in order to operate, maintain, improve, and develop the Services and future products, provided that such data does not personally identify you.

Your registered email address will be used as your main identifier and contact method. Please ensure it is accurate and up to date. If you believe that your account information is incorrect, contact us promptly.

We implement reasonable technical and organizational measures appropriate for a B2B SaaS; however, you are responsible for maintaining independent backups of your Content, and we are not liable for any loss of Content except as required by law.

10. Payments and Billing

Access to features of the Services require payment of fees. All payments are processed through secure third-party providers, and you authorize us to charge your selected payment method according to your subscription plan. Fees are non-refundable except where required by law. We reserve the right to adjust pricing, subscription terms, or features at any time, with prior notice when required.

Credits and Overage: Certain features may require credits or have usage limits. Credits have no cash value, are non-transferable and non-refundable, and may expire as communicated in your plan. If your usage exceeds included volumes, you authorize us to charge overage fees at the then-current rates.

 

11. Service Modification and Termination

We may modify, suspend, or discontinue the Services or any feature at any time.

If we permanently discontinue a paid Service, you will receive a prorated refund for any unused portion of your subscription.

You may cancel your subscription or account at any time through your account settings or by contacting us at contact@sopla.app.

Cancellation will take effect at the end of the current billing period, and you will continue to have access to the Services until that date. No refunds, credits, or partial reimbursements will be issued for unused days or portions of a subscription period.

We reserve the right to terminate or suspend your account or access to the Services if you violate these Terms, our policies, or applicable law, or if continued use would create risk or legal exposure for us.

We may also terminate or suspend your access immediately and without prior notice if we have a good reason, including suspected misuse, security concerns, or potential legal violations.

 

12. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business, goodwill, or data, whether arising in contract, tort (including negligence), or otherwise.

Our total aggregate liability under these Terms shall not exceed the total fees paid by you for the Services during the twelve (12) months preceding the event giving rise to the claim.

Each party acknowledges that these limitations and exclusions are reasonable and form an essential basis of the commercial arrangement between the parties.

We do not guarantee that AI-generated Outputs will be error-free, accurate, or suitable for your specific purposes, and you acknowledge that such Outputs may require human review or modification before any professional or commercial use.

Outputs are generated automatically and may contain inaccuracies or factual errors; you should not rely on them as factual or professional advice.

Because of the inherent variability of AI models, no refunds, credits, or other compensations will be provided for imperfect, inaccurate, or unsatisfactory Outputs generated by the Services.

 

13. Indemnification

You agree to indemnify, defend, and hold harmless Sanik Design SL, its directors, employees, and affiliates from and against all claims, liabilities, damages, and expenses (including reasonable legal fees) arising from:

  • Your use of the Services;
  • Your violation of these Terms; or
  • Any claim that your Content or Outputs infringe third-party rights.

 

14. Independent Contractors

The parties are independent contractors. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and us.

 

15. Force Majeure

We shall not be liable for any delay or failure in performance resulting from events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet failures, or governmental actions.

 

16. Complaint Resolution and Dispute Resolution

Amicable Resolution
In the event of any complaint or dispute, the parties shall first attempt to resolve the matter amicably through good-faith discussions. You agree to contact us at contact@sopla.app before initiating any legal or arbitration proceedings, and we will make reasonable efforts to resolve the issue directly.

Arbitration
If no resolution is reached within thirty (30) days from the initial contact, any dispute, controversy, or claim arising out of or in connection with these Terms shall be finally settled by arbitration under the Rules of the Spanish Court of Arbitration in Barcelona. The arbitration shall be conducted in English, and the arbitral award shall be final and binding on both parties.

 

17. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of Spain. The courts of Barcelona, Spain shall have non-exclusive jurisdiction over any matters not subject to arbitration.

 

18. Governing Language

These Terms and all related documentation are drafted and shall be interpreted in English. Any translation is provided for convenience only.

 

19. Sanctions and Export Controls

You represent and warrant that you are not located in, organized in, or a resident of any country or territory subject to sanctions, and that you are not listed on any sanctions list. You will not use the Services in violation of applicable export control or trade laws. We may suspend or terminate access immediately for suspected breach of this clause.
